Rogers Communications Inc. announced Thursday it has reached agreements to increase its subordinate voting shares by 892,250 in Cogeco Cable Inc., and by 946,090 in Cogeco Inc. The Cogeco Cable shares, purchased from third parties, will be acquired at a cash purchase price of $43.98 per share, excluding commissions, at a total of $39.2 million. The Cogeco Inc. shares will be acquired for $37.77 per share at a total of $35.7 million. Once the transaction is completed, Rogers will own 10,687,925 subordinate voting shares in Cogeco Cable, representing about 32.5 per cent of the company’s shares and about 22 per cent of Cogeco’s equity. Rogers will also own 5,969,390 subordinate voting shares in Cogeco Inc., about 39.9 per cent of its total shares, and about 35.5 per cent of its equity. “ has no current intention of acquiring ownership of or control or direction over any additional Cogeco Inc. or Cogeco Cable Inc. shares but reserves the right to acquire additional shares … to sell all or any portion of its holding of such shares or to enter into derivative or other transactions with respect to the shares owned by it,” Rogers said in a release. The newly acquired shares represent about 2.7 per cent of Cogeco Cable’s subordinate voting shares and about 6.3 per cent of the shares of Cogeco Inc.
